PASSPORT ONLINE (DBA VACATIONPORT) TERMS OF SERVICE AGREEMENT

Passport Online, Inc., ("Passport Online") welcomes you. Passport Online provides content and services available to you on the Passport Online site (https://www.vacationport.com) (or any part thereof), any site that Passport Online hosts (or any part thereof), and any site that uses Passport Online's Web hosting tools and services (the "Sites") subject to the following Terms of Service ("TOS"), which may be updated by us from time to time.

Certain personal information about you that you provide to Passport Online on https://www.vacationport.com is subject to our Privacy Policy. Certain personal information about you that you provide to users of Sites is subject to the privacy policies' of the operators of the Sites, and Passport Online has no liability for their use of your personal information. ACCEPTANCE OF TERMS

You understand that through your use of this site (https://www.vacationport.com), you consent to the Privacy Policy and this TOS.

NOTICE AND PROCEDURE FOR MAKING CLAIMS OF COPYRIGHT OR INTELLECTUAL PROPERTY INFRINGEMENT

Passport Online respects the intellectual property of others, and we ask our users to do the same. In addition to this Site, Passport Online does host a variety of web sites and provides third parties with Passport Online web hosting services and tools. If you believe that your work has been copied in a way that constitutes copyright infringement, or your intellectual property rights have been otherwise violated, on these Sites, please provide Passport Online's Copyright Agent the following information:

an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright or other intellectual property interest;
a description of the copyrighted work or other intellectual property that you claim has been infringed;
a description of where the material that you claim is infringing is located on the site;
your address, telephone number, and email address;
a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law;
a statement by you, made under penalty of perjury, that the above information in your Notice is accurate and that you are the copyright or intellectual property owner or authorized to act on the copyright or intellectual property owner's behalf.

MODIFICATIONS TO THE SITES

Passport Online reserves the right at any time and from time to time to modify or discontinue, temporarily or permanently, the Sites (or any part thereof) with or without notice. You agree that Passport Online shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Sites.

CONTACTS WITH SITE ADVERTISERS

Your correspondence or business dealings with, or participation in promotions of, advertisers found on or through the Sites, including payment and delivery of related goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and such advertisers. You agree that Passport Online shall not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such advertisers on the Sites.

LINKS

The Sites may provide, or third parties may provide, links to other World Wide Web sites or resources. Because Passport Online has no control over such sites and resources, you acknowledge and agree that Passport Online is not responsible for the availability of such external sites or resources, and does not endorse and is not responsible or liable for any Content, advertising, products or other materials on or available from such sites or resources.

GRAPHIC AND TEXTUAL CONTENT

Graphic and textual content included with or originating from Passport Online and its associated products may be via direct ownership control or licensed by or to Passport Online, Inc. Use and re-distribution of this content outside of Passport Online and its associated products is expressly prohibited unless specifically authorized in writing.

DISCLAIMER OF WARRANTIES

YOU EXPRESSLY UNDERSTAND AND AGREE THAT:

a. YOUR USE OF THE SITES IS AT YOUR SOLE RISK. THE SITES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. PASSPORT ONLINE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

b. PASSPORT ONLINE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS MAKE NO WARRANTY THAT (i) THE SITES WILL MEET YOUR REQUIREMENTS; (ii) THE SITES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE; (iii) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SITES WILL BE ACCURATE OR RELIABLE; AND (iv) THE QUALITY OF ANY PRODUCTS, SERVICES, INFORMATION OR OTHER MATERIAL PURCHASED OR OBTAINED BY YOU THROUGH THE SITES WILL MEET YOUR EXPECTATIONS.

c. ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SITES IS ACCESSED AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE DOWNLOAD OF ANY SUCH MATERIAL.

d. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM PASSPORT ONLINE OR THROUGH OR FROM THE SITES SHALL CREATE ANY WARRANTY NOT EXPRESSLY STATED IN THE TOS.

LIMITATION OF LIABILITY

YOU EXPRESSLY UNDERSTAND AND AGREE THAT PASSPORT ONLINE AND ITS SUBSIDIARIES, AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF PASSPORT ONLINE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES).

EXCLUSIONS AND LIMITATIONS

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

Passport Online may provide you with notices, including those regarding changes to the TOS, by posting a revised TOS on this site (https://www.vacationport.com).

TRADEMARK INFORMATION

The Passport Online trademarks and service marks and other Passport Online logos and product and service names are trademarks of Passport Online (the "Passport Online Marks"). Without Passport Online's prior permission, you agree not to display or use in any manner the Passport Online Marks.

GENERAL INFORMATION

Entire Agreement. The TOS constitutes the entire agreement between you and Passport Online and governs your use of the Sites, superseding any prior agreements between you and Passport Online with respect to the Sites.

Choice of Law and Forum. The TOS and the relationship between you and Passport Online shall be governed by the laws of the State of Oregon without regard to its conflict of law provisions. You and Passport Online agree to submit to the personal and exclusive jurisdiction of the courts located within the county of Multnomah County, Oregon.

Waiver and Severability of Terms. The failure of Passport Online to exercise or enforce any right or provision of the TOS shall not constitute a waiver of such right or provision. If any provision of the TOS is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in the provision, and the other provisions of the TOS remain in full force and effect.

Description of Services

We provide a range of SaaS solutions designed to help professionals in the travel industry—including travel advisors, consortia, host agencies, and suppliers—market their services, promote their offerings, and inspire clients to travel.

Each product offering has distinct features, usage limits, pricing structures, and service levels. Detailed information about each product is available within your customer dashboard or on the relevant product page.

Fulfillment Policy

All products and services provided by Passport Online, Inc. are delivered digitally.

We reserve the right to update or modify services, provided such changes do not materially reduce core functionality.

Access and Delivery

Website Hosting Services

Website hosting services are typically made available within five (5) business days after we receive both the signed contract and all required setup information from the customer, unless otherwise agreed upon.
Login credentials are generally provided after the initial site setup is completed, but may be requested as early as the account creation stage.
Access details (such as login credentials or activation steps) are provided by email or through the user dashboard.

Other Products

Service terms, billing cycles, and cancellation policies may vary by product and are specified in your individual service contract or order form.

Custom Agreements

Customers with custom packages or negotiated agreements should refer to their individual contracts for specific service terms, renewal conditions, and cancellation procedures.

Billing and Currency

All pricing and billing are conducted in United States Dollars (USD) unless otherwise specified in your service agreement or invoice. Customers are responsible for any currency conversion fees or bank charges incurred as a result of international transactions.

AGENTPORT^TM TERMS OF USE ADDENDUM

Effective 5/29/2025

This addendum supplements the Passport Online Inc. DBA VacationPort^® ( VacationPort ) Terms of Service and applies specifically to the AgentPort platform.

ACCOUNT REGISTRATION AND ACCESS

Access to AgentPort is available to professional travel advisors, travel agencies, travel host agencies, travel consortia, and travel suppliers. Only travel advisors are permitted to sign up for free individual accounts through the self-registration process. By creating an account, you represent and warrant that you are at least 18 years old and that you are a licensed or authorized travel advisor, agency, host agency, consortia or supplier acting within the scope of your business.

Each user must register their own individual account. Account sharing is strictly prohibited. You are responsible for all activity that occurs under your account and must not allow others to access AgentPort using your login credentials.

You agree to provide accurate, current, and complete information during the registration process and to keep it up to date. VacationPort reserves the right to suspend or terminate any account that contains false or misleading information or otherwise violates these Terms of Service.

You are responsible for safeguarding your account credentials. If you suspect any unauthorized access or security breach, you must notify VacationPort immediately. VacationPort is not liable for any loss or damage resulting from your failure to secure your account credentials.

VacationPort may limit, suspend or terminate accounts at its discretion, including but not limited to cases of:

Violation of these Terms of Service
Use of automated tools or scraping technologies
Upload of illegal, infringing, or fraudulent content
Security breaches or suspected account compromise
Inactivity over an extended period
Use of fraudulent credentials, or fraudulent claims of membership to a host agency or consortia

AgentPort may be accessed directly or through co-branded or partner-integrated platforms. Your rights and responsibilities under these Terms of Service remain the same regardless of how AgentPort is accessed. AgentPort is intended solely for use by professionals operating within the travel industry. Use of the platform by individuals who are not affiliated with the travel industry is strictly prohibited.

ACCEPTABLE USE AND USAGE RESTRICTIONS

By accessing or using AgentPort, you agree to use the platform solely for lawful, professional purposes consistent with the travel industry.

You may not, directly or indirectly:

Access, extract, or collect content or data from AgentPort using automated tools, bots, crawlers, scrapers, or similar technologies for any reason. If you are interested in programmatic access to our content, VacationPort offers a separate licensed product: VacationPort API.
Use AgentPort in violation of any applicable local, state, national, or international law or regulation.
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, underlying structure, or algorithms of the AgentPort platform.
Resell, sublicense, or otherwise commercialize any portion of AgentPort or its content without explicit permission from VacationPort.
Use AgentPort or its data to power or enhance any commercial product, service, platform, or offering that competes with, substitutes for, or derives value from the content, features, or functionality of VacationPort or its affiliated products.
Use AgentPort or its data to train or refine any artificial intelligence or machine learning system.
Upload, distribute, or transmit any content that is illegal, fraudulent, deceptive, defamatory, infringing, or otherwise objectionable.
Impersonate any person or entity, misrepresent your affiliation, or falsify information in your profile or any content you provide.
Interfere with, disrupt, or compromise the security or integrity of the AgentPort platform or its related systems or networks.
Use AgentPort in any manner that harms or could reasonably be expected to harm the brand, reputation, or goodwill of VacationPort or its partners.
Use AgentPort to gain access to supplier, host agency or consortia data you are not allowed through your membership or affiliation.

VacationPort reserves the right (but is not obligated) to monitor use of AgentPort, investigate suspected violations, and take appropriate action, which may include suspending access, removing content, disabling accounts, or referring matters to law enforcement.

DATA OWNERSHIP AND USER CONTENT RIGHTS

Users may upload, enter, or generate content within AgentPort, including but not limited to logos, branding materials, contact details, marketing copy, images, offers, and travel content ( User Content ). You retain all rights, title, and interest in and to your User Content.

By uploading or submitting User Content to AgentPort, you grant VacationPort a worldwide, non-exclusive, royalty-free license to use, reproduce, display, publish, host, and distribute your User Content as necessary to operate, maintain, promote, and enhance the AgentPort platform and its related services. This license is granted solely for the purpose of delivering the functionality and benefits of the platform to you and your intended audience. The license terminates when you remove the content or close your account, subject to retention obligations outlined in this policy.

You may remove your User Content at any time through available tools. If your account is terminated or closed, VacationPort will disable public access to your User Content within a commercially reasonable timeframe. Archived copies may remain temporarily for system backups, legal obligations, or billing and dispute resolution requirements.

You are solely responsible for the accuracy, ownership, and legality of all User Content you provide. You agree not to upload or submit any content that:

You do not have sufficient rights or licenses to use
Violates or infringes any copyright, trademark, privacy, publicity, or other legal right
Is deceptive, misleading, or fraudulent
Violates any applicable law, rule, or regulation
May bring harm to VacationPort s reputation, users, partners, or the travel industry at large

VacationPort reserves the right to remove any content it deems, in its sole discretion, to be objectionable, unlawful, or harmful to the platform, the company, or its community.

VacationPort retains ownership of all aggregated, anonymized, or system-generated data derived from the usage of AgentPort, including browsing behavior, viewing trends, and platform interaction metrics. In the event of a user request for deletion of personal data under applicable privacy laws, VacationPort will take commercially reasonable steps to dissociate such data from personally identifiable information. Anonymized data may be retained, deleted, or used at VacationPort s discretion, consistent with legal, operational, or analytical needs.

PRIVACY AND DATA HANDLING

Your use of AgentPort is subject to the VacationPort Privacy Policy, available at: https://www.vacationport.com/Info/PrivacyPolicy. By using AgentPort, you consent to the collection and handling of your data as outlined in that policy.

VacationPort collects information such as registration data, platform usage, device metadata, and location indicators to deliver, maintain, and improve AgentPort functionality.

AgentPort uses cookies and tracking technologies to support essential features and analyze trends. You consent to their use by continuing to use the platform.

VacationPort may use or share certain AgentPort user data, including usage activity, preferences, and platform interactions, with trusted marketing partners and suppliers in order to deliver relevant offers, promotions, and insights. This sharing supports the continued operation of AgentPort as a free service. By using the free version of AgentPort, you acknowledge and agree that such data usage is part of the service and is not subject to opt-out.

INTELLECTUAL PROPERTY

All rights, title, and interest in and to the AgentPort platform, including its software, design, code, logos, and other assets, are the exclusive property of VacationPort, Inc. or its licensors. "VacationPort^®" is a registered trademark of Passport Online, Inc., and "AgentPort^TM" is a trademark of VacationPort, Inc.

AgentPort also includes third-party supplier content such as logos, images, and marketing assets. These materials remain the property of their respective owners. Users may use such content in good faith for marketing purposes through AgentPort s intended features. Use of this content outside the scope of the platform is at the user s own risk, and VacationPort assumes no responsibility for misuse.

CHANGES TO TERMS AND NOTICES

VacationPort may revise these Terms of Service at any time. Updated terms will be posted on our website with a new effective date. Continued use of AgentPort after changes go into effect constitutes acceptance.

VacationPort may provide legal notices by email or by posting them within the AgentPort platform.

GENERAL TERMS

These terms supplement and are governed by the overarching Passport Online Inc. Terms of Service, including all provisions regarding governing law, dispute resolution, and acceptable use.

If any part of these Terms is found to be unenforceable, the remaining terms will remain in effect. These Terms, along with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and VacationPort.
